Terms of Service

Please read these terms carefully. They outline the legal framework for our custom architecture builds, maintenance protocols, and the complete transfer of intellectual property to your business.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you") and OWNIT Software LLC ("OWNIT," "we," "us," or "our"), concerning your access to and use of our ecosystem architecture, custom development, and software deployment services.

By executing a Statement of Work (SOW), engaging our services, or paying a project deposit, you agree that you have read, understood, and agree to be bound by all of these Terms.

2. Architecture & Services

OWNIT provides custom digital ecosystem development, which may include but is not limited to: custom websites, CRM setups, booking engines, AI automation integrations, and proprietary machine learning model deployments.

  • Statement of Work (SOW): All specific deliverables, timelines, and technical requirements will be outlined in a mutually agreed-upon SOW prior to the commencement of any engineering.
  • Revisions & Scope Creep: We provide a defined number of revision cycles during the "Frontend Approval" phase as outlined in your SOW. Requests falling outside the original scope will be subject to additional billing at our standard hourly architectural rate.

3. Payment & Milestones

Our pricing model is designed to eliminate endless SaaS retainers through upfront capital expenditure. Payments are structured securely to protect both parties during the build process.

  • Standard Milestone Split: Unless otherwise specified in the SOW, custom builds follow a 40/30/30 structure: 40% initial deposit to commence architecture, 30% upon frontend/design approval, and 30% prior to final launch and codebase handover.
  • Refunds: The initial 40% architectural deposit is non-refundable once development has commenced. Because our products are custom-engineered digital goods, we do not offer refunds on approved milestones.
  • Late Payments: Final handover and deployment will not occur until the final balance is paid in full. Payments delayed by more than 15 days may incur a 1.5% monthly late fee.

4. Intellectual Property & Absolute Ownership

This is the core of the OWNIT philosophy. We do not rent software to you; we build it for you.

The Ownership Guarantee: Upon receipt of the final milestone payment, OWNIT Software LLC transfers 100% of the intellectual property rights, bespoke codebase, and database architecture directly to the Client. You own the asset entirely.

Pre-existing Code: Notwithstanding the above, OWNIT retains ownership of any pre-existing, proprietary foundational libraries or open-source frameworks utilized to build the system. The Client is granted an irrevocable, perpetual, royalty-free license to use, modify, and scale these foundational elements as part of their deployed ecosystem.

5. Cloud Hosting & Priority Maintenance

While you own the code, a cloud server is required to host the ecosystem. Clients may choose to host the ecosystem on their own servers or opt into OWNIT's managed hosting and maintenance tiers.

  • Optional Tiers: Managed hosting (e.g., $99/mo or $299/mo tiers) covers AWS/GCP server costs, TLS/SSL certificates, daily encrypted backups, and critical security patches.
  • No Lock-in: If you utilize our hosting, you are never locked in. You may cancel your maintenance tier at any time with 30 days written notice. Upon cancellation, we will provide a full export of your codebase and database for you to migrate to the hosting provider of your choice.

6. Client Responsibilities

To ensure rapid, 14-to-30 day sprint deliveries, we require prompt collaboration from your team.

  • Provision of Assets: The Client agrees to provide all necessary branding assets, API keys, domain access, and feedback within the timelines specified in the SOW.
  • Delays: If a project is stalled for more than 14 days due to a lack of Client feedback or asset delivery, OWNIT reserves the right to pause the project and re-allocate engineering resources, which may affect the final delivery date.

7. Limitation of Liability

To the fullest extent permitted by applicable law, OWNIT Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the deployed ecosystem;
  • Any unauthorized access to or use of our secure servers and/or any personal information stored therein;
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party;
  • Downtime caused by third-party infrastructure (e.g., AWS, GCP, Stripe).

In no event shall our aggregate liability for all claims related to the services exceed the total amount paid by you to OWNIT Software LLC for the specific project in question.

8. Termination & Cancellation

Either party may terminate the engagement if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving written notice.

Upon cancellation of a project prior to completion, OWNIT will bill for the pro-rated hours of engineering and architecture completed up to the date of cancellation. Any deliverables paid for up to that point will be handed over to the Client "as-is."
